Terms of Service
Effective date: August 15, 2026
These Terms of Service (the "Terms") are a binding agreement between you and TakoCode ("TakoCode", "we", "us") governing your access to and use of the takocode.com website, the TakoCode application-building platform, AI agents, hosting, deployment, domain, and related services (collectively, the "Services"). By creating an account or using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. The Service
TakoCode is an AI software builder: you describe an application in natural language, and autonomous AI agents write, run, test, and modify code in an isolated project environment on your behalf. The Services also include, among other things: project sandboxes, live previews, per-project databases, checkpoints and rollback, multi-model plan review ("Council"), production deployment to cloud infrastructure, custom domain registration and connection, GitHub export, and metered usage billing.
The Services orchestrate third-party AI models and infrastructure (including, without limitation, OpenAI, Anthropic, and Google AI models, Google Cloud, Neon, Cloudflare, Redis, and Stripe). Availability, behavior, and pricing of third-party providers may change and are outside our control.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract to use the Services.
- You are responsible for your account credentials and for all activity under your account, including activity by AI agents you instruct.
- You must provide accurate account and billing information and keep it current.
- Accounts belong to the individual or organization that registered them; organization workspaces may have additional role-based controls.
3. Fees, wallet, and metered billing
3.1 How billing works
- Metered agent time. Agent work is billed by the second while an agent is actively working on your project. The meter pauses when the agent is waiting for your input. Rates depend on the model tier you select and are shown in the product before and during use.
- Prepaid wallet. Usage is debited from a prepaid credit wallet. You top up your wallet with a payment card via Stripe. Where enabled, auto top-up adds credits when your balance falls below a threshold you control.
- Membership. Access to resource-consuming features requires an active membership subscription, billed monthly via Stripe until cancelled. Cancellation stops future renewals; it does not refund the current period.
- Deployments and hosting. Running deployed applications consumes metered hosting usage and/or prepaid deployment charges, billed as displayed at the time you deploy. If your wallet cannot cover accrued hosting usage, we may suspend or take your deployment offline after notice.
- Domains. Domain registrations and renewals are charged at the price displayed at purchase. Domain purchases are non-refundable once the registration is submitted to the registry. Renewal pricing may differ from first-year pricing and will be shown before renewal is charged. If a renewal cannot be charged, the domain may expire and be lost.
3.2 Estimates, taxes, and changes
- Cost estimates (including plan estimates and per-turn projections) are good-faith estimates only and are not a quote or a cap. Actual metered usage may vary.
- Prices exclude taxes unless stated otherwise; you are responsible for applicable taxes.
- We may change pricing prospectively. Material changes to recurring fees will be notified in advance and apply from your next billing period.
3.3 Refunds and billing disputes
- Except where required by law, wallet credits, membership fees, metered usage, deployment charges, and domain fees are non-refundable.
- Unused promotional or bonus credits have no cash value and may expire.
- If you believe a charge is incorrect, contact support within 30 days of the charge and we will review it in good faith.
- Initiating a payment-card chargeback for validly incurred usage may result in account suspension.
4. AI-generated output
The Services generate software, text, designs, and other content using AI models ("Output"). You understand and agree that:
- Output is generated by machine and may be inaccurate, insecure, incomplete, non-functional, or unsuitable for your purpose. You are responsible for reviewing and testing Output before relying on it, and especially before using it in production, commercial, safety-relevant, or regulated contexts.
- AI models may produce similar or identical output for different users. We do not guarantee that Output is unique, original, or non-infringing.
- Output is not professional advice. Nothing generated by the Services is legal, financial, medical, or other professional advice.
- Agents act autonomously within your project based on your instructions and configured autonomy level. You are responsible for the instructions you give and the autonomy you grant, and for supervising the results.
- We may interpose safety, review, or moderation steps (including human or automated review of side applications before publication) and may decline to build, host, or publish content that violates these Terms.
5. Your content and ownership
5.1 What you own
- You retain all rights you have in the prompts, files, data, and other material you submit to the Services ("Your Content").
- As between you and TakoCode, and subject to payment of applicable fees and to third-party components, you own the application code generated in your projects. You may export it, connect it to GitHub, and use it without ongoing obligation to us.
- Generated applications commonly include open-source dependencies and third-party services that carry their own licenses and terms. You are responsible for complying with them.
5.2 What you allow us to do
You grant us a worldwide, non-exclusive license to host, store, reproduce, modify, transmit, and display Your Content solely as needed to provide, secure, and improve the Services — including sending relevant portions of Your Content and project state to the third-party AI providers that power the agents, hosting your deployed applications, creating backups and checkpoints, and generating previews and screenshots for you.
5.3 Your responsibilities for deployed applications
- You are the operator, publisher, and controller of applications you build and deploy. You are solely responsible for their content, functionality, legal compliance (including privacy, consumer-protection, e-commerce, and data-protection law), and for any end users and end-user data they process.
- If your application collects personal data from end users, you are responsible for providing your own privacy notice and legal basis. TakoCode processes such data as your hosting infrastructure provider.
- We may suspend or remove deployed applications that violate these Terms, create security or legal risk, generate abuse complaints, or exceed unpaid usage.
6. Acceptable use
You will not use the Services (including agents and deployed applications) to:
- violate any law or regulation, or infringe the intellectual-property, privacy, or other rights of any person;
- build, host, or distribute malware, phishing, spyware, credential harvesting, or content designed to deceive or defraud;
- generate or host child sexual abuse material, non-consensual intimate imagery, or content that sexualizes minors — reported immediately to relevant authorities;
- harass, threaten, or incite violence; distribute hate speech; or facilitate serious harm;
- send spam or unsolicited bulk communications, or artificially manipulate traffic, rankings, or engagement;
- probe, scan, attack, or interfere with the Services or other users’ projects; attempt to escape project isolation; abuse free allowances; or resell the Services without our written agreement;
- attempt to extract model weights or systematically scrape Output to train a competing service in violation of third-party model terms;
- mine cryptocurrency, run proxies/VPN exit nodes, or run workloads unrelated to building and operating your application;
- misrepresent AI-generated content as human-created where the law requires disclosure.
We may investigate suspected violations, throttle or suspend affected projects or accounts, remove content, and cooperate with law enforcement where legally required.
7. Domains
- Domain registrations are placed through our registrar partners (including Cloudflare Registrar) and are subject to the registrar’s and registry’s terms and ICANN policies, which you accept when purchasing.
- You are the registrant of domains purchased through the Services. We manage DNS and renewal billing on your behalf while the domain is connected to the platform.
- You must provide accurate registrant data. Domains may be suspended by registries for inaccurate WHOIS data.
- If you cancel your account or your renewal payment fails, we will make reasonable efforts to notify you before expiry; unrenewed domains expire and may become unrecoverable or subject to redemption fees.
- Domain transfers out are supported per registrar policy (including any post-registration transfer-lock windows).
8. Privacy, security, and data
- Our Privacy Policy explains what we collect and how we use it.
- Projects run in isolated environments with per-project databases. Secrets you store are encrypted. No security measure is perfect; you must not store data in the Services that you are not permitted to process on shared cloud infrastructure.
- We create automatic backups and checkpoints for operational purposes but the Services are not a backup service; export important work regularly.
- We may access your projects where reasonably necessary to provide support you request, secure the platform, comply with law, or enforce these Terms.
9. TakoCode intellectual property and feedback
- The Services — including the platform, agent orchestration, prompts, UI, and documentation — are owned by TakoCode and its licensors. These Terms grant you no rights in them except the limited right to use the Services.
- You may not copy, modify, reverse engineer, or create derivative works of the platform except as permitted by law.
- If you send us feedback, we may use it without restriction or compensation.
10. Third-party services
The Services interoperate with third-party services (AI model providers, cloud infrastructure, Stripe for payments, GitHub, registrars, and services you connect to your own applications). Your use of a third-party service is governed by that third party's terms. We are not responsible for third-party services, and their unavailability does not excuse fees already incurred, though we will act in good faith to mitigate the impact of provider outages.
11. Suspension and termination
- You may stop using the Services and cancel your membership at any time in the billing settings.
- We may suspend or terminate the Services or your account for material breach of these Terms, unpaid fees, security or legal risk, or extended inactivity of free resources, with notice where practicable.
- Upon termination we will make your project code available for export for at least 30 days, except where we terminate for serious abuse or are legally prevented from doing so. Deployed applications and databases may be taken offline upon termination.
- Sections that by their nature should survive (ownership, payment obligations, disclaimers, liability limits, disputes) survive termination.
12. Disclaimers
THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT OUTPUT WILL MEET YOUR REQUIREMENTS, BE SECURE, OR BE FIT FOR PRODUCTION USE WITHOUT YOUR OWN REVIEW AND TESTING.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER TAKOCODE NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (ii) ONE HUNDRED US DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
14. Indemnification
You will defend, indemnify, and hold harmless TakoCode and its officers, employees, and suppliers from any third-party claim arising out of (a) Your Content, (b) applications you build, deploy, or operate using the Services, (c) your end users, or (d) your breach of these Terms or applicable law, including reasonable attorneys' fees.
15. Copyright complaints
We respond to notices of alleged copyright infringement that comply with applicable law (including the DMCA). Send notices identifying the copyrighted work, the allegedly infringing material and its location on the Services, your contact information, and the required statements and signature, via the support page. We may remove material and terminate repeat infringers.
16. Governing law and disputes
- These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules, except where the mandatory consumer law of your country of residence applies.
- Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for 30 days.
- Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction, except that either party may seek injunctive relief in any competent court and you may have rights to bring claims in your local courts under mandatory consumer law.
- To the extent permitted by law, each party waives the right to a jury trial and to participate in a class action.
17. Changes to these Terms
We may update these Terms from time to time. For material changes we will give notice (for example by email or in-product) at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance. If you do not agree, stop using the Services and cancel your membership before the changes take effect.
18. Miscellaneous
- These Terms, the Privacy Policy, and any order or plan documents are the entire agreement between you and TakoCode about the Services.
- If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Notices to you may be given by email to your account address or in-product. Notices to us go through the support page.
- The Services may not be used where prohibited by export-control or sanctions law.
